1. Introduction

1.1. Verve and Vault is the trading name for the Verve and Vault group of companies. Each entity (“Verve and Vault”, “we”, or “us”) operates an e-commerce platform (the “Marketplace”), which includes supporting infrastructure enabling the sale and purchase of consumer goods and services.

1.2. These Terms apply to all Buyers and Sellers using the Marketplace and related services.

1.3. By using the Marketplace, you accept these Terms in full. If you do not agree, you must not use the platform.

1.4. If using on behalf of a legal entity, you:

• 1.4.1. Confirm authority to accept Terms on its behalf;
• 1.4.2. Bind yourself and the entity to these Terms;
• 1.4.3. Agree “you” refers to both you and the entity.

2. Registration and Account

2.1. You must be at least 18 years old to register.

2.2. You agree to:

• 2.2.1. Keep your password confidential;
• 2.2.2. Notify us of any breach;
• 2.2.3. Accept responsibility for your account;
• 2.2.4. Not share or transfer your account;
• 2.2.5. Acknowledge our right to suspend or cancel your account without notice.

4. Returns and Refunds

4.1. Returns are managed according to our Returns Policy.

4.2. Refunds are processed based on our Refund Policy and may include:

• 4.2.1. Product price;
• 4.2.2. Shipping fees (where applicable);
• 4.2.3. Refund via voucher, bank transfer, or store credit.

4.3. Digital and perishable goods are refunded only if not delivered.

4.4. Policy changes apply to new purchases only.

5. Payments

All payments must follow the Payment Guidelines on the platform.

6. Store Credit

Store credit is subject to separate terms. Misuse may lead to revocation.

7. Promotions

Promotions are governed by specific Promotion Terms available online.

8. Rules About Your Content

“Your Content” includes all submissions, comments, reviews, media, and software.

Ensure your content is legal, accurate, and non-offensive.

Do not submit or post:

• Obscene, violent, or discriminatory content
• Spam, misleading info, or illegal material
• Fake reviews or unauthorized transactions

We may moderate or remove content at our discretion.

9. Rights to Use Your Content

By submitting content, you grant us a license to use, publish, and share it globally. You waive moral rights to the extent permitted by law.

10. Use of Website and Apps

• Permitted: Viewing, printing, and browsing for personal use
• Prohibited: Scraping, unauthorized commercial use, or attacking the platform

11. Intellectual Property

All content, trademarks, and IP belong to Verve and Vault or its licensors.

12. Data Privacy

Personal data is processed according to our Privacy Policy. Sellers must respect buyer data privacy.

13. Due Diligence

We may request verification documents to comply with anti-fraud regulations.

14. Marketplace Role

We provide the platform; sellers are responsible for their listings and conduct.

15. Limitation of Liability

• No liability for force majeure or indirect losses
• Our total liability is capped at the transaction amount in dispute

16. Indemnification

You agree to hold Verve and Vault harmless for claims resulting from your misuse or violation of these Terms.

17. Breaches

We reserve the right to suspend or terminate your account for any violations. Circumventing bans is not allowed.

18–25. Legal Provisions

• These Terms form the entire agreement
• We may update them anytime
• Nigerian law (or applicable operating region) governs these Terms
